Terms of Service

These Terms of Service govern access to vesicae.com, research-account eligibility, released-lot access, transactions, documentation, and use of VESICAE services.

These Terms of Service govern your use of vesicae.com and any research-access, account, documentation, ordering, reservation, referral, shipping, or related services provided by VESICAE. By accessing the Site, submitting a research-access request, creating or using an account, submitting information, or completing a transaction, you agree to these Terms.

1. Acceptance of Terms

By accessing or using vesicae.com, you acknowledge that you have read and understood these Terms of Service and agree to be bound by them.

If you do not agree with these Terms, you must discontinue use of the Site and must not submit an order or research-access request.

2. Age and Eligibility

By requesting access to restricted areas of the Site or completing a transaction with VESICAE, you represent and agree that:

  • You are at least 21 years of age.
  • You are requesting access strictly for legitimate in-vitro, analytical, institutional, laboratory, or other qualified research purposes.
  • You are not seeking materials for personal use, human use, veterinary use, wellness use, clinical use, or therapeutic use.
  • You have the authority, qualifications, facilities, or institutional responsibility reasonably necessary to purchase, receive, possess, store, handle, and use applicable research materials.
  • Information submitted during research-access review, account registration, ordering, payment, and fulfillment is accurate and not misleading.

3. Research Access

Certain areas of the Site, including released research materials, pricing, ordering functionality, or account features, may be restricted to approved research accounts.

VESICAE may request information relating to age, research category, laboratory or institutional activity, contact information, research-use acknowledgements, or other account-eligibility requirements.

Submission of a research-access request does not create an automatic right to account approval, catalog access, purchasing access, product availability, or access to any particular released lot.

4. Research Use Agreement

By accessing released materials or completing a transaction, you agree that all materials supplied by VESICAE are intended exclusively for qualified research purposes.

  • Materials will not be administered to humans or animals.
  • Materials will not be used as drugs, supplements, foods, cosmetics, consumer products, or household products.
  • Materials will not be used for therapeutic, diagnostic, clinical, wellness, personal, or veterinary applications.
  • Materials will be used only in legitimate laboratory, analytical, in-vitro, institutional, or scientific research applications.
  • Materials will be purchased, possessed, stored, handled, and used in accordance with applicable laws, regulations, institutional requirements, and appropriate laboratory practices.

5. Restricted or Prohibited Use

VESICAE may refuse service, restrict access, suspend an account, cancel an order, limit purchasing, or decline future transactions where we reasonably identify or suspect:

  • Human or veterinary use;
  • Personal-use purchasing;
  • Misrepresentation of research status;
  • Fraudulent or unauthorized account activity;
  • Attempts to bypass research-access controls;
  • Unlawful or prohibited use;
  • Use inconsistent with these Terms or applicable law.

6. Released Lots

VESICAE may make a research material available only after the applicable lot has completed the release process established by VESICAE.

A material appearing in a catalog, account area, historical order record, or documentation page does not guarantee that the same lot or material remains available for purchase.

Lot availability may change without notice as inventory is allocated, reserved, sold, withheld, archived, or otherwise removed from active availability.

7. Analytical Documentation and COAs

Released lots may be associated with public or restricted lot documentation, including certificates of analysis, lot identifiers, purity data, identity information, HPLC documentation, LC-MS documentation, and laboratory information.

VESICAE makes reasonable efforts to associate released materials with the appropriate lot documentation.

Analytical documentation is provided for research transparency and lot traceability and does not constitute medical, therapeutic, diagnostic, clinical, or consumer guidance.

If you believe the lot identifier supplied with an order does not correspond with the applicable documentation, contact support@vesicae.com promptly.

8. Independent Third-Party Testing

Where available and arranged in advance, VESICAE may support shipment of an applicable vial from an order, or an additional agreed vial, directly to an independent analytical laboratory selected or approved for the applicable request.

Independent laboratories operate under their own procedures, timelines, fees, sample requirements, reporting practices, and contractual terms.

VESICAE does not control the independent analytical conclusions of a third-party laboratory.

9. Accounts and Account Security

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You must provide accurate account information and notify VESICAE promptly if you suspect unauthorized access, credential compromise, or unauthorized transactions.

Account access may be reviewed, limited, suspended, or terminated where necessary for security, eligibility, misuse, compliance, or operational reasons.

10. House Accounts and Authorized Users

Eligible laboratory, institutional, or organizational accounts may support one primary account together with authorized sub-users.

Orders, volume activity, pricing eligibility, lot history, invoices, account credits, and related records may be associated with the applicable primary organization or house account.

The primary account holder is responsible for maintaining appropriate authorized-user access.

11. Order Review and Acceptance

VESICAE may review, hold, refuse, restrict, or cancel an order for reasons including:

  • Lot or inventory availability;
  • Research-access or eligibility concerns;
  • Suspected misuse or prohibited use;
  • Payment-verification issues;
  • Fraud or security concerns;
  • Incorrect or incomplete customer information;
  • Shipping restrictions or unsupported destinations;
  • Operational, fulfillment, or compliance limitations.

Receipt of an order confirmation, invoice, reservation acknowledgement, or automated communication does not guarantee final acceptance or fulfillment if a legitimate issue is subsequently identified.

12. Pricing and Quantity Options

Available pricing, quantity options, released lots, and volume pricing may vary according to account status, material, lot, inventory level, quantity, or applicable account terms.

Where quantity-based options such as 1-vial, 3-vial, or 6-vial quantities are offered, the price shown for the applicable selection governs that transaction unless corrected before fulfillment due to an obvious pricing or technical error.

VESICAE may correct pricing errors, availability errors, or technical display errors before an order is fulfilled.

13. Next-Lot Reservations

Certain eligible accounts may be offered the ability to reserve or indicate interest in the next released lot of an applicable sequence.

A reservation does not guarantee that a future lot will pass testing, be released, become available by a particular date, or remain available in a particular quantity.

Future lots remain subject to VESICAE release, availability, account, payment, and fulfillment requirements.

14. Referral Credits

Where VESICAE makes a referral program available, eligibility may require completion of a first paid order.

Unless VESICAE expressly states otherwise for a particular program, referral rewards:

  • Apply only to qualifying referrals;
  • Are one-level only;
  • Apply only to the referred buyer's qualifying first merchandise order;
  • Exclude shipping charges;
  • Are issued as account credit;
  • Are not redeemable for cash;
  • Are not compensation for social-media posts or promotional claims.

VESICAE may deny, reverse, or restrict referral credit in cases of fraud, self-referral, duplicate accounts, abuse, cancelled transactions, or other ineligible activity.

15. Payment Terms

VESICAE may support payment through invoice, ACH transfer, wire transfer, or other payment methods expressly made available by VESICAE.

Payment must be successfully received or verified before fulfillment where required.

VESICAE is not required to accept any payment method that is not expressly made available through the applicable transaction or account process.

16. Shipping and Delivery

VESICAE currently fulfills eligible orders within the United States only.

International shipping and dropshipping are not currently offered.

Available USPS or UPS services, applicable shipping rates, free-shipping eligibility, tracking procedures, address requirements, carrier delays, lost-shipment procedures, and delivery conditions are described in the VESICAE Shipping Policy.

Customers are responsible for providing accurate shipping information, monitoring tracking information, receiving shipments promptly, and maintaining appropriate handling and storage after delivery.

17. Returns, Replacements, Credits and Refunds

Due to the nature of lot-controlled research materials, all sales are generally final.

VESICAE generally cannot accept returned materials after shipment or delivery where handling, storage, chain of custody, or product integrity can no longer be independently verified.

Qualifying situations involving damaged shipments, incorrect materials, missing items, incorrect lots, documentation mismatches, or confirmed delivery issues may be reviewed under the VESICAE Refund & Returns Policy.

18. Reviews and User-Submitted Content

Where reviews or feedback are permitted, VESICAE may limit acceptable review content to legitimate order and service topics, including:

  • Packaging;
  • Shipping experience;
  • Order accuracy;
  • Whether applicable lot documentation loaded correctly;
  • Customer-support experience.

Reviews or submissions discussing dosage, administration, human effects, body outcomes, therapeutic outcomes, medical claims, wellness outcomes, or unauthorized use may be rejected, removed, or restricted.

19. Intellectual Property

VESICAE branding, logos, website design, original graphics, product imagery, packaging artwork, written content, documentation presentation, interface elements, and other original materials displayed on vesicae.com are owned by, licensed to, or otherwise lawfully used by VESICAE.

Site content may not be copied, reproduced, republished, distributed, modified, commercially exploited, or used to falsely represent an affiliation with VESICAE without authorization where authorization is required.

Public lot documentation may be shared for legitimate research, verification, or documentation purposes, provided it is not altered or used to make misleading, medical, therapeutic, or unauthorized claims.

20. Website and Documentation Accuracy

VESICAE makes reasonable efforts to maintain accurate information on the Site. However, the Site may occasionally contain errors, technical issues, outdated information, typographical errors, omissions, or temporary availability discrepancies.

VESICAE may correct or update information, availability, lot records, pricing, specifications, imagery, account functionality, documentation, or other Site content when reasonably necessary.

21. No Medical or Professional Advice

Content published on vesicae.com, including lot information, analytical documentation, product specifications, support communications, or research-related content, is not medical, veterinary, therapeutic, diagnostic, clinical, or patient-specific advice.

VESICAE does not provide dosing instructions, treatment recommendations, administration instructions, or human-use guidance.

22. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and related services are provided on an “as available” basis.

Except for express representations made by VESICAE, we do not warrant that the Site will operate without interruption, that all information will always be error-free, or that every material or lot will remain continuously available.

23. Limitation of Liability

To the fullest extent permitted by applicable law, VESICAE will not be liable for indirect, incidental, special, punitive, consequential, or similar damages arising from unauthorized or prohibited use of materials, misuse of the Site, improper handling, or activity inconsistent with these Terms.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

24. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold VESICAE harmless from claims, liabilities, damages, losses, costs, or expenses arising from your unlawful, unauthorized, prohibited, or improper use of the Site or materials supplied by VESICAE.

25. Suspension or Termination

VESICAE may suspend, restrict, or terminate access to an account or Site functionality where reasonably necessary because of:

  • Misuse or suspected misuse;
  • Fraud or attempted fraud;
  • Security concerns;
  • False or misleading eligibility information;
  • Prohibited product use;
  • Violation of these Terms;
  • Legal, regulatory, or operational requirements.

26. Governing Law and Disputes

These Terms and any dispute relating to the Site, VESICAE services, accounts, transactions, or materials will be governed by the applicable laws and jurisdiction legally applicable to VESICAE and the relevant transaction.

Nothing in these Terms is intended to override mandatory consumer, privacy, commercial, or other legal rights that cannot lawfully be waived.

27. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by applicable law.

28. Changes to These Terms

VESICAE may revise or replace these Terms of Service from time to time to reflect changes in Site functionality, research-access procedures, lot-release systems, account features, payment processes, shipping procedures, service providers, business practices, or applicable legal requirements.

The current version will be published on this page together with the applicable “Last updated” date.

Continued use of vesicae.com after revised Terms become effective constitutes acknowledgement of the revised Terms to the extent permitted by applicable law.
